GENERAL TERMS AND CONDITIONS OF CONTRACT AND DELIVERY
Regarding every question that is not settled in the ad hoc purchase agreement of wedding accessories and other products sold by the SENIA G Ltd. the following general terms and conditions of contract shall be accepted as normative. The ad hoc purchase agreement comes into existence after placing and acceptance of order, as well as after effectuation of down payment of the current order’s gross total value as published in the information material. By signing the ad hoc purchase agreement, placing the order and effectuation of down payment the Procurer accepts the general terms and conditions of the present contract to be binding upon himself. Variance from the general terms and conditions is only possible by written declaration of the SENIA G Ltd., primarily within the framework of the ad hoc purchase agreement. The Procurer is obliged to draw the SENIA G Ltd’s attention to every circumstance that might affect the implementation of the ad hoc purchase agreements! The terms and conditions, as well as the accepted variances listed herein invalidate every earlier written or oral agreement of the contracting parties, except the ad hoc purchase agreements. Acknowledgement: The Procurer receives information about the current status of the order in process (cross-check of data, optimization) without exception on the phone, per e-mail, or in printed form. After placing and acceptance of order (which means that the down payment has been effectuated and the ad hoc purchase agreement has come into existence) it is always the acceptance of order that is decisive. Modification: In case of accepting occasional modifications the SENIA G Ltd. is entitled to inform the Procurer about possible additional charges. Withdrawal: An order cannot be modified or cancelled without the written consent of the SENIA G Ltd. In case of occasional cancellation the expenses incurred shall be immediately and fully compensated to the SENIA G Ltd. by the Procurer. Informative data: The price lists, sizes and data appearing in printed publications or on the web page are only informative; for incidental mistakes or misprints the SENIA G Ltd. cannot be held responsible. The summarized data contain the information material released by the Manufacturer. Prices: Regarding the prices the validity of the prospectuses and price-lists is limited, they only serve to raise and maintain interest. IN EVERY CASE IT IS THE PRICE APPEARING IN THE OFFER, THE ORDER AND THE CONFIRMATION THAT IS VALID! The confirmation contains the net price in HUF, as well as the gross prices containing 20% VAT for the total order. Terms and conditions of payment: After effectuation of the determined down payment, the total order’s remaining gross purchase price shall be paid by the Procurer no later than the acceptance of goods as indicated in the order form! Effectuation of down payment options:
As long as the total purchase price is not paid the SENIA G Ltd. reserves itself the proprietary rights for the goods in question. Packing: The ordered goods shall be, without exception, handed over in the packing applied by the Manufacturer. Delivery terms and conditions: The mode of transport is settled in accordance with the Procurer by the SENIA G Ltd. and fixed in a written confirmation. Depending on the volume of the total order the order might be delivered in several items. In every such case the SENIA G Ltd. coordinates with the Procurer in advance. In case of failing agreement the goods shall be transported by the Procurer directly from the company seat or the exhibition room of the SENIA G Ltd., both in Budapest. After the receipt the Procurer shall take responsibility for the intact condition of the goods. In case of home-delivery the goods shall be delivered every time until the front door of the house, staircase, etc. Unloading shall be performed by the Procurer (upon request a stevedore can be hired, whose work shall be paid by the Procurer) and the SENIA G Ltd. cannot be held responsible for any damage caused during or after the process of unloading! Any kind of damage caused during delivery shall be reported and recorded immediately in accordance with the mode of transport at the assign (for example: the driver)! Time of delivery: Regarding the delivery deadline it is always the date confirmed by the Senia G Ltd. that is determining and normative! The dates indicated in the catalogue are only informative. The exact delivery date and mode is in every case fixed after an agreement has been reached with the Procurer. The delivery date indicated in the information material of the SENIA G Ltd. might change on account of a third party (e.g.: transport delay, run out item, stock shortage). Delayed delivery cannot ground for compensation demands or withdrawal. In case of transport on public roads the transit time might be longer, for which the SENIA G Ltd. is not responsible, consequently no claim for reimbursement can be enforced. If the Procurer cannot take over the goods at the delivery time, the SENIA G Ltd. is authorized to store the goods in question at the Procurer’s liability and expenses, and make out an invoice about the storage on the Procurer’s name. Receipt of goods: The Procurer is bound to inspect the consignment at acceptance, and check whether it corresponds with the data on the invoice and the bill of delivery. Should the Procurer detect any discrepancy from the order, the invoice or the bill of delivery, he is bound to denote it right away and make a written report within three days. Inconspicuous defects have to be denoted right after detection, but latest within a week. Disapproval is no reason for withheld payment. Legal effect: In all questions not regulated by the terms and conditions of the present contract the operative rules of law are normative. Wherever certain points of the terms and conditions incidentally conflict with the operative rules of law, the given parts of the contract shall be overruled. This, however, shall not affect the validity of all other parts! For the settlement of disputes the contracting parties shall rely on the exclusive competence of the Central District Court of Pest or the Metropolitan Court of Budapest (Pesti Központi Kerületi Bíróság / Fővárosi Bíróság).
